Vulpy Gateway Terms of Use

These Terms of Use (the Terms) govern your access to and use of the Vulpy AI gateway and billing bridge, including model requests, usage metering, prepaid credits, payment flows, related APIs, and support (collectively, the Gateway).

The Gateway is provided by Vulpy, Inc., a Delaware corporation (Vulpy, we, us, or our), with its principal business address at 8 The Green, Ste D, Dover, DE 19901, United States.

By accessing or using the Gateway, you agree to these Terms and the Gateway Privacy Policy. If you do not agree, do not access or use the Gateway.

1. The Gateway

The Gateway is an intermediary service. It forwards compatible requests to third-party language-model providers according to the model or provider you select or configure. Those providers, not Vulpy, supply the underlying models and may process prompts, outputs, and related technical information under their own terms and privacy practices.

Vulpy does not retain prompts or model outputs. We seek to use underlying providers that likewise do not retain prompt or output content. Some providers may retain that content under their own policies. To Vulpy’s knowledge, no provider trains on prompts or outputs submitted through or processed by the Gateway. Provider practices may change, and Vulpy does not control third-party providers or their systems.

2. Your account and responsibilities

You must provide accurate account and billing information, keep your credentials and API keys secure, and use the Gateway lawfully. You are responsible for all activity performed through your account or credentials.

If you believe your account or API keys have been compromised, you must rotate affected keys immediately and notify us at legal@vulpy.io. We will take reasonable steps to assist but are not liable for activity that occurred before notification.

Do not submit payment-card data, access credentials, secrets, or sensitive personal information in a prompt unless the service expressly requires it and you have determined that doing so is lawful and appropriate.

You may not use the Gateway to gain unauthorised access to systems or accounts, interfere with the Gateway or another person’s use of it, distribute malware or harmful code, violate law or another person’s rights, circumvent restrictions, or cause harm.

3. Prompts, outputs, and third-party providers

You are responsible for your prompts, for obtaining all necessary rights and permissions for the information you submit, and for your use of model outputs.

Model outputs may be inaccurate, incomplete, biased, offensive, or unsuitable for a particular purpose. You must evaluate outputs before relying on, publishing, deploying, or otherwise using them. Do not use the Gateway or its outputs as a substitute for professional advice in high-risk, regulated, medical, legal, financial, safety-critical, or other consequential contexts without appropriate human review and controls.

You must comply with applicable law and the terms, acceptable-use policies, and other requirements of any underlying provider used for your requests.

Vulpy may deploy technical or operational safeguards designed to reduce foreseeable risks associated with the Gateway and model outputs. Those safeguards are not a guarantee of accuracy, safety, legality, fitness for purpose, or any particular result, and do not create a duty to monitor, review, correct, or validate your prompts or outputs. You remain solely responsible for deciding whether and how to use an output.

4. Usage, credits, and payments

Gateway usage is metered under the pricing and metering rules in effect when the usage occurs. Prepaid credit options, where offered, and applicable pricing are displayed in the Gateway or checkout flow.

Provider-cached input is charged at the applicable cached-input rate. Cached input is billable; it is not free. Other usage is charged at the applicable metered rate.

Payments are processed through Stripe Checkout. Vulpy does not store full payment-card numbers on its systems. A prepaid balance is not a guarantee that a particular model, provider, feature, or route will remain available.

All fees are non-refundable and prepaid credits have no cash value. We do not offer refunds, credits, or returns for unused balances for any reason, including cancellation, account suspension or termination, or change of circumstances. We may suspend or decline to fulfil a purchase where payment is unsuccessful, reversed, fraudulent, or otherwise invalid.

If your account is suspended or terminated, any unused prepaid credit balance is forfeited and will not be refunded, except to the extent required by applicable law.

5. Availability, suspension, and changes

Underlying providers may experience outages, rate limits, model changes, policy changes, capacity constraints, or service discontinuations. Vulpy may change, limit, suspend, or discontinue the Gateway, a model route, a provider route, a feature, or pricing.

We may suspend or restrict your Gateway access where reasonably necessary to address abuse, security risks, legal obligations, provider requirements, fraud, or non-payment. Unless we agree otherwise in writing, the Gateway is not subject to a service-level agreement, uptime commitment, support response-time commitment, or service credit.

6. Export controls, sanctions, and prohibited territories

You represent and warrant that you are not located in, ordinarily resident in, or organised under the laws of a country or territory subject to comprehensive US, EU, or UK sanctions (currently including Cuba, Iran, North Korea, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not a person or entity on a US, EU, or UK government sanctions or denied-party list, including the OFAC Specially Designated Nationals and Blocked Persons List.

In addition, and as a matter of Vulpy’s own business policy, access to the Gateway is not available to users located in, ordinarily resident in, or organised under the laws of Russia or Belarus.

You may not use the Gateway in connection with any transaction involving sanctioned or prohibited countries, territories, persons, or entities, or in any way that would violate applicable export control or trade-sanctions laws and regulations.

7. Intellectual property

Vulpy and its licensors retain all rights in the Gateway other than rights expressly granted to you. You retain rights in your prompts and outputs to the extent you have them. You grant Vulpy a limited, non-exclusive right to process prompts and outputs solely to route and provide the Gateway, secure it, support you, and comply with law.

This section does not grant Vulpy any right to use your prompts or outputs to train models.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE GATEWAY IS PROVIDED AS IS AND AS AVAILABLE. VULPY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

VULPY DOES NOT WARRANT THAT THE GATEWAY, A PROVIDER, A MODEL, OR AN OUTPUT WILL BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR FIT FOR A PARTICULAR PURPOSE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VULPY AND ITS AFFILIATES, LICENSORS, SUPPLIERS, CONTRIBUTORS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO THE GATEWAY OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VULPY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE GATEWAY OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO VULPY FOR THE GATEWAY DURING THE TWELVE MONTHS BEFORE THE CLAIM AROSE; OR (B) US$50, IF YOU HAVE PAID NO FEES TO VULPY.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

10. Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Vulpy and its affiliates, officers, directors, employees, contractors, licensors, and agents from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from your prompts, outputs, Gateway use, breach of these Terms, violation of law, violation of export controls or sanctions, or violation of another person’s rights.

11. Governing law and venue

These Terms and any dispute arising out of or relating to the Gateway or these Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules, and applicable federal law of the United States.

Subject to mandatory consumer protections that cannot be waived, the state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from or relating to these Terms or the Gateway, and you consent to that jurisdiction and venue. The parties agree that those disputes will be resolved exclusively in those courts and will not be submitted to arbitration.

12. Changes and general terms

We may update these Terms by posting a revised version and updating the effective date. For material changes, we will provide at least 14 days’ advance notice by email (where we hold an email address for you) or by a prominent notice in the Gateway. Your continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.

If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.

These Terms and any applicable order are the entire agreement between you and Vulpy regarding the Gateway and supersede prior agreements on that subject.
