Vulpy Commercial License

This Commercial License (the License) governs your use of any paid Vulpy software product, add-on, or feature identified in the applicable order (collectively, the Licensed Software). Current examples of Licensed Software include Vulpy Commerce Pro, Vulpy Commerce add-on packs (Starter Pack Add-On, Multi-Agent Pack Add-On), and any other paid Vulpy product or add-on Vulpy makes available under this License.

The Licensed Software is provided by Vulpy, Inc., a Delaware corporation (Vulpy, we, us, or our), with its principal business address at 8 The Green, Ste D, Dover, DE 19901, United States.

By purchasing, downloading, installing, or using the Licensed Software, you agree to this License and the Vulpy Terms of Use. If you accept on behalf of an organisation, you represent that you have authority to bind that organisation. In that case, you and your refer to that organisation.

1. Relationship to free and open-source components

This License applies only to the Licensed Software identified in your order. Vulpy Commerce Core is separately made available under the Apache License, Version 2.0, or another license identified in the applicable repository. This License does not limit rights granted under the Apache License, Version 2.0, or any other applicable open-source license.

2. License grant

Subject to your payment of applicable fees and compliance with this License, Vulpy grants you a limited, non-exclusive, non-transferable, non-sublicensable license for the applicable term stated in the applicable order to:

1. install and run the Licensed Software on infrastructure you control for the number of instances, stores, or operations stated in your order (default: one production instance for one operation);
2. modify the Licensed Software for your own internal use within that operation; and
3. receive generally available updates and bug fixes during an active subscription.

A separate written agreement is required for use across more than the licensed number of independent operations, for a hosted or managed service for third parties, or for sublicensing, redistribution, resale, rental, leasing, or transfer of the Licensed Software.

3. Subscription, renewal, and fees

The initial subscription or licence term is stated in the applicable order (typically one year from purchase for annual subscriptions, or a one-time perpetual grant for one-time add-ons as specified in the order). Any renewal terms and renewal pricing are presented in the applicable renewal or checkout flow.

Fees, applicable taxes, and included features are shown at checkout or in the applicable order flow. Payment processing is provided through Stripe Checkout. Vulpy does not store full payment-card numbers on its systems.

All sales are final. Fees are non-refundable. We do not offer refunds, credits, or pro-rata returns for any reason, including cancellation, unused subscription time, dissatisfaction, or change of circumstances. If you cancel a subscription, your access continues until the end of the current billing period and does not renew. No partial-period refund is issued on cancellation.

We may suspend repository access, updates, or support if payment is unsuccessful, reversed, fraudulent, or otherwise invalid.

4. Repository access and support

Where included, private repository access is provisioned after payment is verified and you provide a valid GitHub handle. Access is subject to GitHub’s terms and the applicable repository terms.

Active subscribers receive best-effort email support. Support is scoped to defects in the Licensed Software as distributed by Vulpy. It does not cover: environment setup or configuration; hosting infrastructure; third-party services, plugins, or integrations; custom code you have written or commissioned; issues introduced by modifications to the Licensed Software; or general development or implementation questions.

We will do our best to point you in the right direction, but resolution of issues outside this scope is not included. Dedicated implementation support, environment-specific assistance, and named support are available through Enterprise. Contact us at support@vulpy.io to discuss options.

Unless we agree otherwise in writing, there is no service-level agreement, guaranteed response time, or guaranteed availability.

5. Restrictions

You may not:

• distribute, sublicense, sell, rent, lease, transfer, or make the Licensed Software available to a third party;
• use the Licensed Software to provide a hosted, managed, agency, or multi-store service to third parties without our written consent;
• remove or alter proprietary, license, or attribution notices;
• use the Licensed Software in violation of law, export restrictions, or another person’s rights; or
• circumvent access, payment, or technical restrictions.

6. Installed software and data

Vulpy may suspend access to Vulpy-operated services, including private repositories, updates, downloads, and support, where reasonably necessary to address fraud, abuse, security risks, legal obligations, or non-payment.

Vulpy will not remotely disable installed Licensed Software, delete your data, or impair the runtime of an installed store or application because of a billing event, repository-access event, or change in access to a Vulpy-operated service. Your data remains yours.

7. Termination

This License ends when your subscription or licence term expires without renewal, or earlier if terminated under this section.

Vulpy may terminate this License if you materially breach it and fail to cure the breach within 30 days after written notice. Vulpy may terminate immediately if your breach cannot reasonably be cured, if you infringe or misuse Vulpy’s intellectual property, or if termination is required by law.

When this License ends, you must stop using the Licensed Software and destroy copies in your possession or control, except to the extent retention is required by law. You may retain your own data, content, and modifications that do not contain Licensed Software. Termination does not excuse payment obligations that accrued before termination.

8. Ownership

Vulpy and its licensors retain all rights in the Licensed Software other than the limited rights expressly granted by this License. The Licensed Software may include third-party and open-source components governed by their own licenses. You are responsible for complying with those licenses and any applicable notices or attribution requirements.

9. AI-assisted features

The Licensed Software may include features that use artificial intelligence, including Fox. AI-generated suggestions, content, actions, and outputs may be inaccurate, incomplete, biased, unsuitable, or unavailable. You are solely responsible for reviewing and validating any AI-generated output or action before relying on, publishing, deploying, or using it.

Vulpy may deploy technical or operational safeguards designed to reduce foreseeable risks associated with AI-assisted features. Those safeguards are not a guarantee of accuracy, safety, legality, fitness for purpose, or any particular result, and do not create a duty to monitor, review, correct, or validate any AI output or action. Do not use AI-assisted features as a substitute for professional advice or without appropriate human review and controls in high-risk, regulated, medical, legal, financial, safety-critical, or other consequential contexts.

10. Disclaimer of warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSED SOFTWARE IS PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. VULPY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

VULPY DOES NOT WARRANT THAT THE LICENSED SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECT WILL BE CORRECTED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VULPY AND ITS AFFILIATES, LICENSORS, SUPPLIERS, CONTRIBUTORS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO THIS LICENSE OR THE LICENSED SOFTWARE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VULPY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS LICENSE OR THE LICENSED SOFTWARE WILL NOT EXCEED THE AMOUNTS YOU PAID TO VULPY FOR THE LICENSED SOFTWARE DURING THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

Nothing in this License excludes or limits liability that cannot lawfully be excluded or limited.

12. Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Vulpy and its affiliates, officers, directors, employees, contractors, licensors, and agents from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from your use of the Licensed Software, your breach of this License, your violation of law, or your violation of another person’s rights.

13. Governing law and venue

This License and any dispute arising out of or relating to it are governed by the laws of the State of Delaware, excluding its conflict-of-law rules, and applicable federal law of the United States.

Subject to mandatory consumer protections that cannot be waived, the state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from or relating to this License, and you consent to that jurisdiction and venue. The parties agree that those disputes will be resolved exclusively in those courts and will not be submitted to arbitration.

14. General

If any provision of this License is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign this License without our written consent. We may assign this License in connection with a merger, acquisition, reorganisation, or sale of assets.

This License and any applicable order are the entire agreement between you and Vulpy regarding the Licensed Software and supersede prior agreements on that subject.
